Mergers and Acquisitions

Our Mergers and Acquisition practice is focused on domestic and global transactions aimed at consolidating the businesses of two or more companies. This ranges from due diligence through the negotiation of the contract between the buyer and the seller to the closing and transfer of business ownership.
Corporate Finance
​
We are credited with developing an excellent legal practice dedicated to both representing and negotiating on behalf of, client financing with commercial banks, private equity funds, health care providers, venture capital funds, and angel investors.
Commercial Transactions
​
We have represented both privately-held and publicly-held companies, start-ups and small businesses in a variety of transactions. Those transactions include but are not limited to mergers, sales, purchase and financing. Escrow Services are also offered as a neutral party holding assets or funds before they are transferred from one party in a transaction to another.
Securities Law
​
Both state and federal laws regulate the issuance of securities. The Securities Act of 1933 is the federal law that requires that securities sold to the public be registered with the SEC and that complete information about the seller and the stock offering is made available to investors. The Securities Act of 1934 regulates the operation of stock exchanges and trading. I help clients navigate these complicated federal and state regulations.

Dealing with the complexities of laws, guidelines, norms, common-practices, and standards between and among sovereign states is a complex branch of law that in turn involves the interactions and relations among those sovereign states and non-state actors, that is corporations. We assist our clients to achieve their global ambitions.
ARTHUR E. FILLMORE II
BIOGRAPHY
Mr. Fillmore is the managing member of the Fillmore Business Law Firm, overseeing the operation of the Kansas City, Missouri office. Mr. Fillmore has specialized in Mergers & Acquisitions law and capital formation law for over 40 years, with several regional and national law firms. He also practices state and federal securities law, as well as international law. With respect to the latter, he has completed transactions in all Western Europe and North American countries, Hungary, Romania, China, Vietnam, Australia, and India, among others.

Mr. Fillmore led the acquisition of a health care system for $1.2B. He has conducted multiple transactions more than $100M, and led the strategy behind the judicial award of $217M judgment to a startup company with no revenue against a New York Stock Exchange company.

Mr. Fillmore has also served on numerous corporate boards of directors and has advised public and private corporations on matters of corporate governance and securities filings. He has also been a frequent speaker at legal and corporate seminars.

Mr. Fillmore had been named to the Top 10 Lawyers in Kansas City, the Top Lawyers in Missouri, 30 People You Should Know in Missouri and is the 2023 Recipient of the Lifetime Achievement Award for Nonprofit Connect, an association of nonprofit organizations in Kansas City, for his service of over 35 years on behalf of Veterans.

Mr. Fillmore, a St. Louis native, attended high school in St. Louis, and undergraduate school and Law School at the University of Missouri. He was a National Merit Scholar following high school. He was in the top 2% of his class at all academic institutions and was the Managing Editor of the Missouri Law Review and a member of the Order of the Coif, the law school equivalent of Phi Beta Kappa. He has also taken courses in international law at Stanford University and Mergers and Acquisitions and Securities law at Northwestern University.
